1. Acceptance of Terms

By accessing the NRED Intelligent Mining site at nred.ai (the "Site") or joining the NRED Intelligent Mining waitlist, you agree to be bound by these Terms of Service and our Privacy Policy. These Terms form a legally binding agreement between you and NRED Intelligent Mining ("NRED"), a company incorporated under the laws of British Columbia, Canada.

If you do not agree, you must not use the Site or join the waitlist. If you are using the Site on behalf of an organisation, you represent that you have authority to bind that organisation.

2. What the Site Currently Is

NRED Intelligent Mining is an AI-assisted mineral discovery platform that is not yet publicly available. The Site currently operates only as a waitlist — it lets you register an email address so we can notify you when NRED Intelligent Mining launches and about early-access and founding-member offers.

Joining the waitlist:

  • does not create an account, subscription, or any paid plan;
  • does not grant access to any platform features, reports, or data;
  • does not guarantee you future access, any particular price, or any particular launch date.

NRED Intelligent Mining is a publicly listed mineral exploration company (CSE: NRED / OTC: NREDF). Nothing on the Site constitutes disclosure under Canadian or US securities law, investment research, or a recommendation to buy, sell, or hold any security.

3. Eligibility

You must be at least 18 years of age to use the Site or join the waitlist. By doing so, you represent and warrant that you meet the minimum age requirement, have full legal capacity to enter into these Terms in your jurisdiction, and that your use does not violate any applicable law or regulation.

4. Acceptable Use

You agree to use the Site only for lawful purposes. You must not:

  • submit false, fraudulent, or misleading information, or another person's email address without their permission;
  • use bots, scripts, macros, or other automated tools to interact with the waitlist or the Site without our prior written consent;
  • scrape, crawl, or systematically extract data from the Site without our prior written consent;
  • attempt to gain unauthorised access to the Site or its systems, or interfere with or disrupt its operation, servers, or networks;
  • reverse engineer, decompile, or attempt to extract source code from the Site;
  • introduce malware, viruses, or other harmful code, or engage in prompt injection attacks or attempt to circumvent any Site safety system;
  • use the Site if you are subject to Canadian, US, UN, or other applicable economic sanctions or export-control restrictions.

We reserve the right to remove your waitlist entry and suspend or terminate your access without notice if we determine you have violated these Terms.

5. No Service Yet; No Professional Advice

The Site provides general, informational content only. While the platform is in the waitlist phase:

  • no LandScan Reports, AI mineral scores, or other platform outputs are generated for you;
  • nothing on the Site is professional geological, engineering, financial, or investment advice;
  • nothing on the Site is a technical report prepared in accordance with National Instrument 43-101, and no qualified person has reviewed any content for that purpose.

Do not make any property, mining, financial, or investment decision based on content on the Site.

6. Communications

By joining the waitlist, you consent to receive emails from us about NRED Intelligent Mining early access, launch news, and founding-member offers. You can withdraw this consent at any time using the unsubscribe link in any email or by contacting info@nred.ai. We will not sell your email address or use it for unrelated third-party marketing.

7. Intellectual Property

The Site — including its software, design, branding, text, and all NRED-created content — is owned by or licensed to NRED Intelligent Mining and is protected by Canadian and international intellectual property laws. Your use of the Site grants you no ownership rights. You may not copy, modify, distribute, sell, sublicense, or create derivative works without our prior written permission.

If you submit feedback or feature requests, you grant us a perpetual, irrevocable, royalty-free licence to use and exploit that feedback for any purpose without obligation or compensation to you.

8. Third-Party Links and Services

The Site may contain links to third-party websites and services including novaredmining.com. These links are for convenience only. NRED is not responsible for their content, privacy practices, or terms.

9. Disclaimer of Warranties

The Site is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, accuracy, or non-infringement. We do not warrant that the Site will be uninterrupted, error-free, or secure, or that joining the waitlist will result in access to NRED Intelligent Mining.

10. Limitation of Liability

To the maximum extent permitted by applicable law:

  • Liability cap — NRED's total liability arising out of or relating to the Site or the waitlist shall not exceed CAD $100.
  • No consequential damages — NRED shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits or loss of data.

Quebec residents are entitled to the mandatory provisions of Quebec consumer protection law.

11. Indemnification

You agree to indemnify, defend, and hold harmless NRED Intelligent Mining and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or relating to: (a) your use of the Site; (b) your violation of these Terms; (c) your violation of any applicable law; or (d) your violation of any third-party rights.

12. Force Majeure

NRED will not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including acts of God, natural disasters, pandemic, war, terrorism, governmental action, internet or infrastructure outages, or third-party service failures.

13. Changes to the Waitlist and the Site

We may modify, suspend, or discontinue the waitlist or the Site, in whole or in part, at any time. We may also change these Terms; for material changes, we will post a prominent Site notice and, where we hold your email, notify you at least 14 business days before the changes take effect. Continued use after that date constitutes acceptance.

14. Dispute Resolution

14.1 Governing Law

These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of law principles.

14.2 Jurisdiction

Any dispute shall be subject to the exclusive jurisdiction of the courts of British Columbia, Canada. Quebec residents retain rights under mandatory Quebec consumer dispute resolution provisions.

14.3 Time Limitation

Any claim must be brought within two (2) years of the event giving rise to the claim, to the extent permitted by applicable law.

15. Termination

We may remove your waitlist entry or restrict your access to the Site at any time, with or without cause. You may remove yourself from the waitlist at any time using the unsubscribe link in any email or by contacting info@nred.ai. Sections 5, 7, 9, 10, 11, 12, 14, and 16 survive termination of your waitlist entry.

16. Entire Agreement and Severability

These Terms, together with the Privacy Policy, constitute the entire agreement between you and NRED regarding your use of the Site and the waitlist. If any provision is found to be unenforceable, it will be modified to the minimum extent necessary, and the remaining provisions continue in full force.
